Ms. Janice Lin is a partner with Tsar & Tsai Law Firm. Janice’s practice focused on capital markets, cross-border transaction, M&A, foreign investment, and general corporate.

Janice’s experience in capital market practice includes representing foreign issuers for primary or secondary listing application in Taiwan, and representing Taiwan listed companies to offer equity securities and ECB aboard. She is currently advising several foreign issuers for their potential IPO in Taiwan and the primary listing filing with Taiwan Stock Exchange.

Janice has represented several multi-national clients in the cross-border mergers and acquisitions, and many of these deals are the first of its kind in Taiwan. Janice’s prior experience includes successfully represented a US listed high tech company to acquire 100% equity of a local manufacturer and the delisting of the target, a foreign private equity fund in an acquisition of majority stake of a local bank and a top three global computer maker for its acquisition of the global personal computer business of another major player. The scope of Janice’s representation includes legal due diligence review, deal structure, merger control analysis, transactions and loan facility agreements negotiation and drafting, obtaining regulatory approvals from required government agencies and post transaction restructuring.

Janice has also represented and advised many domestic and multi-national banks, securities companies, foreign funds, and other financial institutions on their new initiatives, projects, and local compliance issues.

Janice is a frequent speaker on capital market, corporate governance, the merger/acquisition and financial industries related topics to industry associations and forums, and has provided consulting service from time to time to business associations or governmental agencies on the drafting of related legislations. Janice is recommended as a leading lawyer in the field of Corporate and M&A by independent publications such as Chambers Asia - Asia's Leading Lawyers 2011.
